This Master Use and Synchronization License Agreement (the “Agreement”) is a legal contract between you (“End User” or “Licensee”) and Society of Beats. (”Society of Beats” or “Licensor”), d/b/a of Brandcoded, LLC, a Maryland limited liability company with its principal office located in Gwynn Oak, Maryland, for the purpose of Licensee’s use of certain rights in and to musical compositions and sound recordings (termed “Recordings” hereafter). By downloading Recordings from our website, you agree to conduct this transaction electronically and you agree to be bound by the terms of this Agreement in respect to those Recordings. If you do not accept or agree with these terms, do not download Recordings.

Ownership and Administration of Rights
Licensor is the copyright owner of the master sound recordings (“Masters”) and Musical compositions (“Compositions”):
Rights for the Compositions are administered by a Performing Rights Organization. If they are administered by a PRO, that PRO is BMI.
Terms of Use
Licensee is interested in licensing the Masters and Compositions for the audiovisual production (“Production”) stated in the Society of Beats music licensing website sound recording download process.
The Production will be distributed in the Territory stated in the Society of Beats music licensing website sound recording download process.
Licensee ’s License to use the Masters and Compositions will last for the following Term: On a perpetual basis
Modifications to Compositions
Licensee shall not make any change in the original lyrics, if any, or in the fundamental character of the music of the Compositions without written prior authorization from Licensor.
Nonexclusive License
Licensor grants to Licensee and assigns the non-exclusive, non-transferable single use license to use and reproduce the Masters and Compositions for solely in synchronization with the Production within the Territory and during the Term. Licensor grants to Licensee the right to publicly perform the Masters and Compositions solely in synchronization to the Production.
Licensee agrees that it shall not use the Recordings in any of the manners described below:
- The Recordings may not be sold as standalone music files, or included in any other media/stock product, library, or collection for distribution or resale. Licensee may not disassemble, decompile, reverse engineer, translate, or otherwise decode the Recordings for any reason whatsoever.
- Recordings may not be used for product that is intended for resale, such as, but not limited to, digital product (electronic templates for websites or applications, software and mobile applications, video games, stock elements or films/illustrations for resale) or physical product (DVDs, Vinyl, Cassette, BluRay, or external media storage such as USB drives).
- Recordings may not be distributed as music releases in music streaming, music channels, radio, other ways of music or sound effects reproduction.
- If Licensee provides Recordings or works incorporating the Recordings to a client as part of its work product, the client may not reuse the Recordings or works incorporating the Recordings for any other purpose.
- Recordings may not under any circumstances be used in or in conjunction with, or in any way that might be considered pornographic, obscene, abusive, immoral, illegal or inciteful of an illegal act.
- Recordings shall not be used in conjunction with sensitive subject matter without the prior written consent of Society of Beats; sensitive subject matter includes but is not limited to sexual activity or sexual-oriented nudity; tobacco, alcohol, or drug use; health issues and bodily functions; illegal activities; excessive or graphic violence; and political content.
- Recordings may not be used in a way that may be considered invasive of privacy, defamatory, libelous, or fraudulent, false or misleading or in a way that is hateful or derogatory of any race, nationality, ethnic identity, gender, gender identity or sexual orientation, or political or religious belief, whether directly or in context or juxtaposition with other materials.
- Recordings may not be used in any manner that creates a false inference or places the Recordings in a context that is likely to result in bringing the Recordings, Society of Beats, or any Artist into (1) public disrespect, (2) scorn, (3) contempt, (4) scandal, (5) ridicule, or (6) that is likely to shock, insult, or offend the community or public morals or decency or prejudice Society of Beats, any of its Artists, or any person or property in the Recordings, or otherwise detract from or negatively affect the public image of Society of Beats or any of its Artists.
Payment
The Licensee’s license to Content is contingent upon your payment of the appropriate transactional Fee for, and your compliance with the terms, conditions and limitations associated with, the use of the Content (as posted on our Website).
Warranty
Licensor warrants that it has the power and authority to grant the rights in this Agreement and that the Masters and Compositions do not infringe any third-party rights. In no event shall Licensor’s liability for a breach of this warranty exceed the amount of payments received under this Agreement.
Credits
Licensor shall receive credit in the following form:
“(Song Recording Title); By Eric White aka Ty Skyy the DJ; Courtesy of Society of Beats” in closing credits for film format productions; And “music by @tyskyythedj” tagged in social media for web format productions.
Cue Sheets
Licensee agrees to furnish Licensor a Cue Sheet within thirty (30) days after the first public exhibition of the Motion Picture or Video Game.
Miscellaneous
This Agreement may not be amended except in a writing signed by both parties.
If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to effect the intent of the parties.
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Maryland. If a dispute arises under this Agreement, the parties agree first to try to resolve the dispute with the help of a mutually agreed-upon mediator in Baltimore County, Maryland. Any costs and fees other than attorney fees associated with the mediation shall be shared equally by the parties. If the dispute is not resolved within 30 days after it is referred to the mediator, any party may take the matter to court.
